Responsibilities
Assist and fulfil all corporate and compliance requirements of the Listed Companies (Code of Corporate Governance) Regulations 2019.
Skillfully maintain schedule of every statutory (board of directors, annual general and extra ordinary general) meeting in a timely & coordinated manner and communicate it to the management.
Assist Head of Department in managing corporate affairs, statutory correspondence and compliances with government departments and regulatory authorities related to Company’s business.
Convene and plan the BOD/ACM & Shareholders Meetings including arrangement / compilation / filing / dispatching / publishing of notices and working papers for meetings within the stipulated timelines.
Perform Corporate Compliance for the organization and their Boards and Committees.
Prepare Minutes of ACM/BOD meetings and handling correspondence before, during and after meetings.
Maintain and regularly update checklists for Corporate Compliance with proper legal research.
Prepare and maintain Statutory Registers as prescribed by the corporate laws of Pakistan. Responsible for statutory filings and announcements to regulators including SECP, PSX, CDC and Share Registrar.
Continuous legal research and liaison with SECP and PSX for any changes and update in any laws or procedures of statutory authorities pertaining to the Company.
To perform ad-hoc assignments in relation to Corporate Compliance and Legal Affairs as and when assigned by HOD.
Essential Skills
Must be tech savvy and a team player
Good at handling multiple tasks of different entities as the same time
Must have knowledge related to PSX, SECP, accounts, profits and shares
Well versed with office work and preparing draft letters, correspondence and draft noting
Proficient in MS Office (Power Point/Word/Excel/Outlook)
Good time management and written communication skills
